Ivanti Supplemental Terms for AI Tools
In conjunction with Your purchase of an Ivanti product or service that includes an Artificial Intelligence (AI) tool, You agree to these Supplemental Terms for AI Tools (“Supplemental Terms”) which are hereby incorporated into the End User License and Services Agreement between Ivanti and You (the "Agreement"). Ivanti may revise these Supplemental Terms from time to time by publishing such updates at https://www.ivanti.com/company/legal/ai-terms. In the event that Ivanti makes any revision that includes a material change to these Supplemental Terms during the term of the Agreement (“Change”), Ivanti shall give you notice of such Change. You shall have thirty (30) days to object to any such Change by written notice to Ivanti, otherwise you agree to accept the Change and incorporate any such Change into the Agreement. If you reject the Change on a reasonable basis, the Parties shall work together in good faith to come to a mutual resolution of the issues. Capitalized terms not defined herein shall have the meaning set forth in the Agreement.
1. DEFINTIONS
1.1 “AI Tool” means any artificial intelligence or machine-based system designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment that, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs, learning components or functions of the Software.
1.2 “Content” means, collectively, the Input and the Output.
1.2 “Input” means any content or input You provide to the Software that is accessed or used by the AI Tool.
1.3 “Output” means any output provided to You by the Software as a result of Your Input.
2. CONTENT
2.1 Your Content. You are responsible for all Content, including ensuring that it does not violate any applicable law or these Supplemental Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to the Software. All Input provided by You may be used by and for the provision of the AI Tool and if the Software includes the ability to configure and restrict the AI Tool’s access to Input then You are responsible for enabling and maintaining any such configurations and restrictions.
2.2 Ownership of Content. As between You and Ivanti, and to the extent permitted by applicable law, You (a) retain your ownership rights in Input and (b) own the Output. Ivanti hereby assigns to you all our right, title, and interest, if any, in and to Output.
2.3 Ivanti’s Use of Content. Ivanti may use Content to provide, maintain, develop, and improve the Software, comply with applicable law, and keep the Software safe and secure.
2.5 Accuracy. Ivanti does not guarantee the accuracy of the AI Tool and You understand and agree that Your use of the Software may, in some situations, result in Output that is not completely accurate. The AI Tool may provide incomplete, incorrect, or offensive Output that does not represent Ivanti’s views. If Output references any third-party products or services, it doesn’t mean the third party endorses or is affiliated with Ivanti.
3. YOUR OBLIGATIONS
When You use the Software, You understand and agree:
3.1 Output may not always be accurate or deliver the intended result and You will not rely on Output from the Software as a sole source of truth or factual information.
3.2 You must evaluate Output for accuracy and appropriateness for Your use case, including using human review as appropriate, before using or sharing Output from the Software.
3.3 You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
4. SURVIVAL
The provisions of Sections 2 and 3 will survive the termination of these Supplemental Terms.
5. GENERAL
In the event of any conflict between these Supplemental Terms and any other supplemental terms of the Agreement, the other supplemental terms shall govern and supersede to the extent of the conflict.
